Ernst & Young LLP served as our certifying accountant for the fiscal year ended March 31, 2004 and the subsequent interim period. Ernst & Young LLP's report on our financial statements for the fiscal year ended March 31, 2004 did not contain an adverse opinion or a disclaimer of opinion, and was not qualified or modified as to uncertainty, audit scope, or accounting principles. During the fiscal year ended March 31, 2004 and the subsequent interim period through August 26, 2004, there were no disagreements between us and Ernst & Young LLP on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements, if not resolved to Ernst & Young LLP's satisfaction, would have caused it to make reference to the subject matter of the disagreements in connection with its report, and there were no reportable events as specified in Item 304(a)(1)(v) of Regulation S-K. Ernst & Young LLP has informed us that it is resigning from our account because it does not meet certain size and growth potential thresholds.
