Item 5.02 (b) Departure of Directors; Election of Directors; Appointment of Principle Officers
Walter J. Biegler and Jean M. Braley, both of whom were previously members of the Company’s Board of Directors, retired from the Board effective August 24, 2004.
On August 26, 2004, the Company issued a news release announcing the results of the election of directors, attached hereto as Exhibit 99.1 and hereby incorporated by reference.
