ITEM 1.01             ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.

On July 11, 2006, Helmerich & Payne, Inc. (“Registrant”), Helmerich & Payne International Drilling Co., and Bank of Oklahoma, National Association entered into a Fifth Amendment to Credit Agreement which extended the term of the Credit Agreement for an additional 364 day period.
