Item 1.01   Entry into a Material Definitive Agreement.

On November 22, 2006, Ascent Solar Technologies, Inc. (the “Company”) and UD Technology Corporation, a non-profit corporation affiliated with the University of Delaware (“UD”), entered into a patent license agreement (the “Agreement”), pursuant to which UD agreed to license certain patents and a pending patent application to the Company on a non-exclusive basis.  The licensed technology is relevant to the production of photovoltaic conversion cells, modules and arrays.  Unless earlier terminated, the Agreement terminates with the expiration of the last to expire of the licensed patents.  A redacted copy of the Agreement is filed as an exhibit to this Current Report.
