Item 8.01.  Other Events.

On February 5, 2007, State Street Corporation, a Massachusetts corporation (“State Street”), and Investors Financial Services Corp., a Delaware corporation (“Investors Financial”), announced that they had entered into an Agreement and Plan of Merger (the “Merger Agreement”).  The Merger Agreement provides that, upon the terms and subject to the conditions set forth in the Merger Agreement, Investors Financial will merge with and into State Street (the “Merger”), with State Street continuing as the surviving corporation.

A copy of the joint press release of State Street and Investors Financial announcing the execution of the Merger Agreement is included herein as Exhibit 99.1 and is incorporated herein by reference.
