Item 5.03.  Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

On February 10, 2009, the Board of Directors of Ascent Solar Technologies, Inc. (the “Company”) approved the Company’s Second Amended and Restated Bylaws (the “Amended Bylaws”).  The Amended Bylaws clarify and modify the procedures by which the Company accepts stockholder proposals and nominations, as well as the manner for calling special meetings of stockholders.
