Description of Registrant's Securities to be Registered. Upon effectiveness of a reverse split of 1 for 15 as authorized by the Board of Directors and the shareholders of the corporation, we will have authorized capital stock of 100 million shares of common stock, $0.00001 par value. As of the date of this filing, we have 73,751,240 (split adjusted) shares of common stock issued and approximately 24,000 shareholders. All shares are fully paid and non-assessable. All shares are equal to each other with respect to voting, liquidation, and dividend rights. Special shareholder meetings may be called by the Board of Directors, the Chairman of the Board, the President or any Vice-President. Holders of shares are entitled to one vote at any shareholder's meeting for each share they own as of the record date set by the board of directors. Holders of shares are entitled to receive such dividends as may be declared by the board of directors out of funds legally available therefore, and upon liquidation are entitled to participate in a distribution of assets available for such distribution to shareholders. There are no conversion, preemptive, redemption or other subscription rights or privileges with respect to any share, except for registration rights granted to a certain number of shareholders.
