Pursuant to this Amendment No. 1 on Form 8-K/A, Metropolitan Health Networks, Inc. (the “Company”) amends its Current Report on Form 8-K, filed with the Securities and Exchange Commission on September 2, 2008 (the “Original Filing”), to correct a typographical error made in the unaudited pro forma condensed consolidated statements of income filed as Exhibit 99.1 to the Original Filing (the “Pro Forma Exhibit”).
 
More specifically, in the third column on page 4 of the Pro Forma Exhibit presenting the unaudited pro forma condensed consolidated statements of income of the Company for the year ended December 31, 2007, the title of the column was inadvertently labeled “Pro Forma Year Ended December 31, 2008.” Accordingly, the title of such column is being amended hereby to read “Pro Forma Year Ended December 31, 2007” in order to accurately reflect that such column presents the unaudited pro forma condensed consolidated statements of income for December 31, 2007 instead of December 31, 2008.
 
The remainder of the Original Filing remains unchanged from the original filing thereof. A copy of the Pro Forma Exhibit, as corrected, is attached as 99.1 hereto.
