Other Events.
 
In order to provide updated information for incorporation by reference in pending and future registration statements under the Securities Act of 1933, as amended, Kulicke and Soffa Industries, Inc. (“the Company”) is providing financial statements of Orthodyne Electronics Corporation (“Orthodyne”) and an updated unaudited pro forma combined statement of operations relating to the Company’s acquisition of Orthodyne, which are attached as Exhibits 99.1 and 99.2, respectively, and incorporated by reference herein. This financial information should be read in conjunction with the Company’s Annual Report on Form 10-K for the fiscal year ended September 27, 2008, its Quarterly Reports on Form 10-Q for the quarters ended December 27, 2008 and March 28, 2009 and its Current Reports on Form 8-K relating to the Orthodyne acquisition filed on October 8, 2008 and amended on October 28, 2008.
