Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Mr. Doyce Gaskin, the President of its Mueller Co. division, has been hospitalized due to complications from a recent surgery. Mr. Gaskin has taken an indefinite medical leave of absence, and his executive duties will be performed by Mr. Dale Smith, the CEO of the Mueller Co. division. Mr. Smith is one of the Company’s named executive officers, and the terms of his employment are described in the Company’s proxy statement filed with the Securities and Exchange Commission on December 27, 2007.
