Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 6, 2013, W. Mark Lortz, a member of the Company’s Board of Directors and its Compensation Committee, resigned as a Director for personal reasons. Mr. Lortz’s resignation was not due to any disagreement with the Company.
