On January 13, 2014, The Wendys Company, a Delaware corporation (Wendys), issued a press release reporting preliminary, unaudited results for the fourth quarter and full year ended December 29, 2013 and other information. As part of the press release, Wendys stated that it expects to commence a modified Dutch auction tender offer on January 14, 2014 to repurchase up to $275 million of its common stock at a price range between $8.50 and $9.25 per share. A copy of the press release is included as Exhibit 99.1 to this Schedule TO.
