Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 10, 2016, Perry Wallack provided notice of his intent to retire from his position as Chief Financial Officer of Cornerstone OnDemand, Inc. (the “Company”), following 16 years with the Company and five years as its public company Chief Financial Officer. The effective date of his retirement has not yet been determined. Mr. Wallack indicated that he intends to assist in the Company’s search for a new Chief Financial Officer and remain in his position as needed to ensure an orderly transition.
