Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers

Gail S. Mann has announced that she will retire as the Chief Legal Officer and Secretary of the Company effective March 3, 2016. Ryan Darrah, Assistant General Counsel and Assistant Secretary of the Company, will assume this position upon Ms. Mann’s retirement.
