Item 1.01. | Entry into a Material Definitive Agreement |
On August 1, 2017, Diamond Offshore Drilling, Inc. (the Company) entered into an Underwriting Agreement (the Underwriting Agreement) with Barclays Capital Inc., as representative of the several underwriters named therein, in connection with the registered public offering and sale by the Company of $500 million aggregate principal amount of the Companys 7.875% Senior Notes due 2025 (the Notes). The Underwriting Agreement includes customary representations, warranties and agreements by the Company, the terms and conditions of the offer and sale of the Notes, indemnification and contribution obligations and other terms and conditions. The Notes are being offered and sold pursuant to the Companys shelf registration statement on Form S-3 (Registration No. 333-202618) and the prospectus therein, dated March 9, 2015, which was supplemented by the Companys prospectus supplement dated August 1, 2017.
The Company intends to use the net proceeds from this offering, together with cash on hand, to fund the redemption of all of the outstanding aggregate principal amount of the Companys 5.875% Senior Notes due May 1, 2019 (the 2019 Notes) at a make-whole premium price calculated in accordance with the 2019 Notes and the indenture governing the 2019 Notes, and the payment of any related fees and expenses. As of June 30, 2017, $500.0 million aggregate principal amount of the 2019 Notes was outstanding.
