Item 8.01 Other Events.

On May 22, 2007, the Jones Soda Co. (the "Company") board of directors (the "Board") determined that the following policy will apply to grants of stock options under any of the Company’s existing stock option plans:

Without the prior approval of the Company’s shareholders, stock option grants under any of the Company’s stock option plans will not be repriced, replaced or regranted in the form of replacement options, stock awards or cash, or by lowering the option exercise price of a previously granted option.
