Item 8.01 Other Events.

On April 18, 2008, James V. Pickett, Chairman of the Board of the Company and Chairman of the Special Committee of the Board of Directors of the Company, sent a letter to Mr. Peter W. May, President of Trian Fund Management, L.P. and Vice Chairman of Triarc Companies, Inc., responding to certain statements in Mr. May’s letter to Mr. Pickett also dated April 18, 2008. A copy of Mr. Pickett’s letter is attached hereto as Exhibit 99.
