Item 8.01 Other Events.

In a filing with the Australian Stock Exchange, Cliffs Asia-Pacific Pty Limited (‘Cliffs’) announced that its off-market tender offer for Portman Limited closed on November 3, 2008. Cliffs also announced that it had received tenders of Portman shares sufficient to give Cliffs a 99.27% ownership interest in Portman’s outstanding shares and that Cliffs would proceed with a compulsorily acquisition of the remaining Portman shares.
