Item 7.01. Regulation FD Disclosure.

On January 4, 2008, CSS Industries, Inc. (“CSS”) issued a press release announcing that its Board of Directors approved a restructuring plan to close its Elysburg, PA production facility and its Troy, PA distribution center. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K. This press release is being furnished pursuant to General Instruction B.2 of Form 8-K and is not deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”), nor is it subject to the liabilities of that section or deemed incorporated by reference into any filing made by CSS under the Exchange Act and/or the Securities Act of 1933.
