Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 13, 2017, Ingevity Corporation (the “Company”) announced that Edward A. Rose, executive vice president and president, Performance Chemicals will be leaving the Company effective January 31, 2017. Mr. Rose is leaving the Company in connection with the reorganization of its leadership team discussed in Item 8.01-Other Events below.
Item 8.01. Other Events.
On January 13, 2017, the Company issued a press release announcing that Michael P. Smith has been named executive vice president and president, Performance Chemicals, strategy, and business development. This new role combines Mr. Smith’s current responsibilities in the areas of strategy and business development with those of the executive vice president and president, Performance Chemicals, the position previously held by Mr. Rose. The press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
