On August 31, 2005 the Registrant's Amended and Restated Credit Agreement dated as of September 30, 2004 by and between Vesta Insurance Group, Inc., as Borrower and First Commercial Bank as Lender was terminated. A copy of the Termination Agreement is attached hereto as Exhibit 10.1 and incorporated herein by reference.
