This announcement is made pursuant to a letter of Istanbul Stock Exchange dated October 3, 2005.

In a news source, it has been stated that Turkcell has failed to acquire stake in the first private GSM tender in Iran.

As we have stated in our announcement dated September 12, 2005, the Iranian Telecommunication Ministry has set November 21, 2005 as the deadline for the finalization of the GSM operator tender in Iran, to which we are a party through our stake in the Irancell Consortium. We are working towards finalization of the Irancell project together with our local partners within the provided timeframe.

No official information has been provided to us regarding this issue. In case any material development occurs with regards to this subject, Turkcell will make necessary announcement according to the Circular VIII, No: 39 of the Capital Markets Board regulations.

We hereby confirm that the above-mentioned explanations are furnished as per the provisions of the Communiqué Serial no VIII/39, that they reflect all information we have gathered so far, that they are in accordance with our corporate documents, that we have used all endeavours to collect the complete and true related information and that we assume the responsibility for this disclosure.
