TURKCELL PROVIDED UPDATE ON A-TEL PURCHASE
Subject: Statement made pursuant to Circular VIII, No: 39 of the Capital Markets Board.

We previously disclosed that on March 22, 2006 Turkcell Board of Directors decided to exercise the option to purchase 50% shares of A-Tel Pazarlama ve Servis Hizmetleri A.S. (“A-Tel”) owned by Yapi ve Kredi Bankasi A.S.
Accordingly, Cukurova Holding A.S. and Yapi Kredi Bankasi A.S. have signed a Share Sales Agreement today, based on the A-Tel Option Agrement signed on September 28, 2005, stating that 50% shares of A-Tel with a nominal value of TRY 7 million would be transferred to our Company for US$150 million. The transfer of shares will be realized upon the completion of required permission and the procedures.
We hereby confirm that the above-mentioned explanations are furnished as per the provisions of the Communiqué Serial no VIII/39, that they reflect all information we have gathered so far, that they are in accordance with our corporate documents, that we have used all endeavours to collect the complete and true related information and that we assume the responsibility for this disclosure
