TURKCELL ANNOUNCEMENT ON MOBILE NUMBER PORTABILITY

Subject: Statement made pursuant to Circular VIII, No: 39 of the Capital Markets Board.

This is an announcement made by Turkcell regarding the recent news in the Turkish Media on Mobile Number Portability (“MNP”).

Turkcell is in favor of the implementation of MNP and we are preparing in line with the regulation for implementation of MNP on timely basis, while maintaining our on-going focus on providing highest quality service and maximizing benefits for subscribers.

On the other hand, as per the license agreement signed between Turkcell and the Ministry of Transportation in 1998, Turkcell was granted the right to use the prefix number blocks for 25 years. Turkcell continues to make investments based on the rights granted by the license agreement. Therefore, based on this agreement, in addition to upfront license fee Turkcell continues to pay 15% of its revenues as an ongoing license fee to Treasury of Turkey.

Since we believe the MNP regulation issued on February 1, 2007, violates the rights granted by the license agreement to us, we initiated a lawsuit for the annulment of the aforementioned regulation.

We hereby confirm that the above-mentioned explanations are furnished as per the provisions of the Communiqué Serial no VIII/39, that they reflect all information we have gathered so far, that they are in accordance with our corporate documents, that we have used all endeavours to collect the complete and true related information and that we assume the responsibility for this disclosure
