TURKCELL ANNOUNCED NEW LAWSUIT

Subject: Statement made pursuant to Circular VIII, No: 39 of the Capital Markets Board.

Special Subjects:

As per the framework of Capital Markets Board (CMB) resolution dated 26.01.2007; CMB has required our Company to take the necessary actions to comply with the related communique, reasoning that the appointment of one of our Audit Comittee members with an observer status - not as a voting member, does not meet the requirements of the CMB.

Turkcell believes that it fully complies with CMB’s related requirements. Therefore, Turkcell has commenced a lawsuit with regards to the suspension and annulment of the execution of the aforementioned CMB decision.

We hereby confirm that the above-mentioned explanations are furnished as per the provisions of the Communiqué Serial no VIII/39, that they reflect all information we have gathered so far, that they are in accordance with our corporate documents, that we have used all endeavors to collect the complete and true related information and that we assume the responsibility for this disclosure
