TURKCELL ANNOUNCEMENT ON A NEW LAWSUIT

Subject: Statement made pursuant to Circular VIII, No: 39 of the Capital Markets Board.

Our Company has initiated an arbitration process against Islamic Republic of Iran for not abiding by the provisions of the Agreement on Reciprocal Promotion and Protection of Investments. This arbitration process relates to a dispute which arises by reason of acts of Islamic Republic of Iran, directly and indirectly, through entities owned and controlled by the Islamic Republic, further to the award of a license to operate a nationwide GSM network in the Islamic Republic on 18 February 2004 to a consortium that was led by our Company, as a result of which our Company has been materially deprived of its investment in that country and incurred significant losses.

We hereby confirm that the above-mentioned explanations are furnished as per the provisions of the Communiqué Serial no VIII/39, that they reflect all information we have gathered so far, that they are in accordance with our corporate documents, that we have used all endeavors to collect the complete and true related information and that we assume the responsibility for this disclosure.
