Entry into a Material Definitive Agreement. On September 14, 2005, SIGA Technologies, Inc., a Delaware corporation ("SIGA"), entered into an agreement with Saint Louis University for the continued development of SIGA's smallpox drug (SIGA-246). The agreement is funded through the National Institutes of Health. Under the terms of the agreement, SIGA will receive approximately $1 million to support specific aspects of the preclinical development of SIGA's oral anti-smallpox drug SIGA-246. A copy of the agreement is attached hereto as Exhibit 10.1, which is incorporated into this Item 1.01 by reference. On September 20, 2005, SIGA issued a press release announcing that it had entered into the agreement with Saint Louis University. A copy of the press release is attached hereto as Exhibit 99.1.
