On July 10, 2009, Jeffrey W. Grossman, Vice President and
Chief Accounting Officer of NiSource Inc. (the
“Company”), notified the Company of his decision to step down as the Company’s Chief Accounting
Officer effective March 1, 2010 and to retire from the Company on December 31, 2010.
