On November 9, 2010, Scott D. Rued retired as a member of the Company’s Board of Directors (the “Board”) and its Compensation Committee. The Board reduced the size of the Board from eight to seven members.
A copy of the press release announcing Mr. Rued’s retirement is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
