DEREGISTRATION OF SECURITIES

This Post-Effective Amendment No. 1 to the Registration Statement is being filed to deregister 125,000 shares of Common Stock that remained unsold upon the termination of the Amended and Restated 1990 Stock Option Plan or were subject to stock options that subsequently expired unexercised.
