Item 5.02 Resignation of Director

     On March 22, 2007 Director Linda Griego tendered her resignation, effective immediately, from Granite’s Board of Directors. Ms. Griego also tendered her resignation effective immediately, as a member of the Audit/Compliance Committee and as Chair of the Nominating and Corporate Governance Committee.
