        (b)         On November 5, 2004, Edward E. Whitacre, Jr. submitted his resignation, effective December 31, 2004, as a member of the Board of Directors of Emerson Electric Co. Mr. Whitacre currently is a member of the Board's Executive Committee and is Chairman of the Board's Public Policy Committee.
