Officer of Circa Pharmaceuticals, Inc., Copiague, New York
(pharmaceuticals manufacturing) (“Circa”), from June 1993 to January
1996. Mr. Rice was also the Chief Financial Officer of Circa
from June 1993 to January 1995. Prior to joining Circa, Mr.
Rice spent seven years as an accountant with Deloitte & Touche LLP, an
international accounting firm. He was a director of Circa from June 1993
to January 1996, a director of Chesapeake from January 1997 to January
1999 and a director of Andrx from April 2003 to November

Control Plan, (i) the continued provision of the perquisites (if any)
