Allstate Prices Series H Preferred Shares

The Allstate Corporation (NYSE: ALL) today announced that it has priced a $1.150 billion public offering of 5.10% Fixed Rate Noncumulative Perpetual Preferred Stock, Series H (Series H Preferred Stock). The company intends to use the net proceeds for general corporate purposes, including the redemption of existing series of preferred shares.

The Series H Preferred Stock, with a liquidation preference of $25,000 per share (equivalent to $25 per Depositary Share, the security to be issued to investors) will pay dividends, as and if declared, quarterly in arrears on Jan. 15, April 15, July 15 and Oct. 15, beginning in October 2019, at a rate of 5.10% per year. The Series H Preferred Stock is perpetual and has no maturity date. Application will be made to list the Depositary Shares on the New York Stock Exchange under the symbol “ALL PR H,” (CUSIP No. 020002838). The offering is expected to close on Aug. 8, subject to customary closing conditions.
