Pursuant to registration rights agreements entered into with SL Green Realty Corp. (the Company), Almah Mezz Owner LLC and Eretz LLC are registering the resale of an aggregate of up to 776,885 shares of the Companys common stock, par value $0.01 per share, which may be issuable upon redemption of units of limited partnership interests in SL Green Operating Partnership, L.P., the Companys operating partnership, under the Companys registration statement on Form S-3 (File No. 333-163914), as supplemented by the prospectus supplement, filed January 9, 2012 (the Prospectus Supplement) with the Securities and Exchange Commission.
