Item 8.01 Other Events.
On July 9, 2013, Ares Commercial Real Estate Corporation (the Company) sold 601,590 shares of its common stock to the underwriters (the Underwriters) named in Exhibit A of the Underwriting Agreement, dated June 20, 2013, by and among the Company, Ares Commercial Real Estate Management LLC, and Credit Suisse Securities (USA) LLC, Citigroup Global Markets Inc. and Wells Fargo Securities, LLC, as representatives of the Underwriters, pursuant to the Underwriters partial exercise of an option to purchase additional shares of the Companys common stock. The Company granted this option to the Underwriters in connection with its public offering of 18,000,000 shares of common stock, which was completed on June 26, 2013.
The Company raised approximately $7.7 million in net proceeds from the sale of these additional shares of its common stock, which brought the total net proceeds of the offering to approximately $242.5 million after deducting underwriting discounts and commissions and estimated offering expenses.
