This Tender Offer Statement on Schedule TO relates to the offer by Zions Bancorporation, a Utah corporation (the “Company” or “Zions”), to exchange any and all of its outstanding depositary shares (the “Depositary Shares”) each representing a 1/40th ownership interest in a share of Series A Floating-Rate Non-Cumulative Perpetual Preferred Stock (the “Series A Preferred Stock”). For each Depositary Share we accept for exchange in accordance with the terms of the Exchange Offer, we will issue a number of shares of our common stock, without par value (the “Common Stock”) upon the terms and subject to the conditions set forth in the Offer to Exchange, dated November 23, 2009 (the “Offer to Exchange”), and the accompanying Letter of Transmittal (the “Letter of Transmittal”), which together, as each may be amended and supplemented from time to time, constitute the offer (the “Exchange Offer”). This Schedule TO is intended to satisfy the reporting requirements of Rule 13e-4(c)(2) of the Securities Exchange Act of 1934, as amended (the “Exchange Act”).
