Item 8.01.
Other Events.
On February 8, 2011, ARMOUR Residential REIT, Inc.(the Company) announced the closing of the previously-announced offering of 7,750,000 shares of the Companys common stock at a price of $7.60 per share. In addition, the underwriters have fully exercised the over-allotment option for 1,162,500 additional shares at a price of $7.60 per share, resulting in a total offering of 8,912,500 shares for gross proceeds of $67,735,000. The Company estimates that the net proceeds resulting from the offering, after deducting the underwriters discounts and commissions and other estimated expenses, will be approximately $55,705,000.
