SECTION 5 - CORPORATE GOVERNANCE AND MANAGEMENT



Item 5.02  Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On March 18, 2005, Frederic V. Malek announced his retirement from FPL Group's board of directors effective May 20, 2005.


On March 18, 2005, Rudy E. Schupp and Hansel E. Tookes II were elected to FPL Group's board of directors, effective March 21, 2005.  Mr. Schupp and Mr. Tookes have not yet been named to serve on any committee of the board of directors, and as of the date hereof, there is no expectation in this regard.



SECTION 8 - OTHER EVENTS


Item 8.01  Other Events

On March 22, 2005, FPL filed a petition with the FPSC requesting, among other things, a permanent increase in rates and charges sufficient to generate additional total annual revenues of approximately $430.2 million beginning January 1, 2006.  This increase consists of a base rate increase of approximately $384.6 million and a net shift from base rates to the capacity cost recovery clause of approximately $45.6 million, and will provide for an ROE range of 11.3% to 13.3% with a midpoint of 12.3%.  In addition, FPL is requesting an annual base rate increase of approximately $123 million beginning 30 days following the in-service date of the 1,150 megawatt natural gas-fired plant at Turkey Point, which is expected to be placed in service in June 2007.  The petition also requests certain changes to existing rate schedules, as well as the adoption of new rate schedules.  Testimony of FPL witnesses and minimum filing requirements were also filed with the FPSC supporting the increase in rates and charges requested in the petition.
