On January 17, 2011, Mr. Yoel Or tendered his resignation as a director of the Registrant, to be effective as of February 1, 2011, for reasons related to the expansion of his personal business. The Registrant does not plan to appoint a replacement director to fill Mr. Or’s vacancy at this time.
