(a) As previously reported in a Form 8-K filed on June 15, 2005, on June 9, 2005, National Instruments Corporation (the Company) dismissed PricewaterhouseCoopers LLP (PWC) as the Companys independent registered public accounting firm. The decision to dismiss PWC was approved by the Audit Committee of the Board of Directors of the Company.
(b) On June 15, 2005, the Company engaged Ernst & Young LLP (E&Y) as its new independent registered public accounting firm to audit the Companys financial statements for the year ending December 31, 2005 and to review the financial statements to be included in the Companys quarterly reports on Form 10-Q for the quarters ending June 30, 2005 and September 30, 2005.
Prior to the engagement of E&Y, neither the Company nor anyone on behalf of the Company consulted with E&Y during the Companys two most recent fiscal years and through June 9, 2005, in any manner regarding either: (A) the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Companys financial statements; or (B) any matter that was the subject of either a disagreement or a reportable event (as defined in Item 304(a)(1)(iv) and (v), respectively, of Regulation S-K).
