Item 8.01 Other Events.

In a letter dated May 22, 2007, the Boston District Office of the U.S. Securities and Exchange Commission (the “SEC”) informed us that its informal investigation related to the Company’s issuance of stock options has been completed, and that the SEC does not intend to recommend that any enforcement action against the Company be taken by the Commission.
